Hortiworld B.V.
1. General
1.1 These general terms and conditions apply to all offers, quotations, and agreements between Hortiworld B.V., located at Lodderhoeksestraat 15, 6687 LR Angeren, and its customers.
1.2 By placing an order with Hortiworld B.V., the customer agrees to these terms and conditions.
2. Offers and Quotations
2.1 All offers and quotations from Hortiworld B.V. are non-binding unless explicitly stated otherwise.
2.2 Offers and quotations are valid for 30 days from the date of issuance unless otherwise specified.
3. Prices and Payment
3.1 All prices are in euros and exclude VAT and other government levies unless stated otherwise.
3.2 Payment must be made within 14 days of the invoice date unless otherwise agreed in writing.
3.3 In case of late payment, the customer is in default without further notice and owes interest of 1% per month on the outstanding amount.
4. Delivery
4.1 Delivery times are approximate and not binding. Hortiworld B.V. will make every effort to meet the agreed delivery times.
4.2 The risk of loss or damage to the products passes to the customer at the time of delivery.
5. Retention of Title
5.1 All delivered goods remain the property of Hortiworld B.V. until the customer has fulfilled all obligations under the agreement.
6. Complaints and Returns
6.1 The customer must inspect the delivered goods immediately upon receipt for defects and report any complaints to Hortiworld B.V. in writing within 7 days.
6.2 Returns are only accepted if agreed in writing by Hortiworld B.V. and the goods are returned in their original condition and packaging.
7. Liability
7.1 Hortiworld B.V. is not liable for any indirect or consequential damages, including loss of profit, unless caused by gross negligence or willful misconduct.
7.2 The liability of Hortiworld B.V. is limited to the invoice amount of the relevant order.
8. Force Majeure
8.1 Hortiworld B.V. is not liable for any failure to perform its obligations due to circumstances beyond its control, including but not limited to natural disasters, war, strikes, and government actions.
9. Governing Law and Jurisdiction
9.1 These terms and conditions are governed by Dutch law.
9.2 Any disputes arising from or related to these terms and conditions will be submitted to the competent court in the district where Hortiworld B.V. is located.
10. Amendments
10.1 Hortiworld B.V. reserves the right to amend these terms and conditions at any time. The amended terms and conditions will apply to new orders and agreements.
